01Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the ChessVS service, including the website at chessvs.club, the ChessVS game application, and any related services (collectively, the "Service") operated by ChessVS, Inc., a Delaware corporation ("ChessVS," "we," "us," or "our").

By creating an account, accessing the Service, or making any purchase through the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

02The Service

ChessVS is a competitive online chess game. The Service includes:

• Standard chess gameplay with full FIDE rules preserved
• Collectible card mechanics that grant chess pieces situational abilities, layered on top of standard chess play
• Player matchmaking, ELO rating tracking, and tournament participation
• Account customization, social features, and community participation
• Optional premium features available through subscription tiers

The Service is provided on an "as-is" and "as-available" basis. We may modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice when feasible.

03Account Registration

To access most features of the Service, you must create an account. By creating an account, you agree that:

• You are at least 13 years of age (or the minimum legal age in your jurisdiction for online services, whichever is greater)
• The information you provide is accurate and current
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity under your account
• You will not share your account or transfer it to another person without our written consent

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our reasonable discretion, present a risk to other users or to the integrity of the Service.

04Subscriptions

ChessVS offers monthly subscription tiers that unlock premium features. Current subscription tiers and pricing are displayed on the Service. By purchasing a subscription, you agree to:

• Recurring billing. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled prior to renewal.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access to subscription benefits through that date.
• Refunds. Subscription fees are generally non-refundable except where required by applicable law. We may issue refunds at our discretion for service disruptions or other circumstances.
• Price changes. We may adjust subscription prices with at least 30 days' notice. Price changes apply to the next billing cycle following the notice period.

05Founding Member Tiers

During the launch period, ChessVS offers one-time founding member tier purchases. Each tier includes a defined bundle of deliverables that may include:

• Username reservation rights
• Bundled digital starter content (in-game chess piece variants, customization items, and other digital game items issued by us as the operator of the Service)
• Subscription credit toward future monthly subscription periods
• Tier-specific recognition within the Service

The specific contents of each tier are described on the Service at the time of purchase. Founding member tier purchases are one-time, non-recurring transactions. All deliverables are provided for use within the Service. Tier purchases are non-refundable except where required by applicable law.

Founding member tier purchases are not investments, securities, or interests in ChessVS, Inc. They are purchases of game services and digital content.

06In-Game Items and Currency

The Service includes various in-game items (cards, customization items, etc.) and in-game currency. By using the Service, you understand that:

• In-game items have no real-world monetary value. Their value is solely within the Service.
• In-game currency is earned through gameplay and cannot be purchased with real money through this Service. In-game currency cannot be exchanged for real currency through the Service.
• You receive a limited license to use in-game items within the Service, not ownership of the items themselves.
• Cards and other in-game items may be implemented using on-chain technology for record-keeping and player ownership purposes. The technical implementation does not change the fundamental character of these items as in-game digital goods.

07Acceptable Use

You agree not to:

• Use chess engines, AI assistance, or other tools that determine chess moves on your behalf during competitive matches
• Create multiple accounts to circumvent matchmaking, ratings, or tier benefits
• Buy, sell, or transfer accounts
• Engage in collusion, match-fixing, or other competitive integrity violations
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated tools (bots, scrapers) to access the Service except as we expressly permit
• Violate any applicable law or regulation in your use of the Service

Violations may result in account suspension, termination, forfeiture of in-game items, or other actions at our discretion.

08Intellectual Property

The Service, including all software, content, designs, trademarks, and visual elements, is the property of ChessVS, Inc. or its licensors and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted.

You retain ownership of any content you create within the Service (such as game replays or comments), but you grant us a worldwide, royalty-free, non-exclusive license to use, display, and distribute such content within and in connection with the Service.

09Tournaments

The Service hosts competitive chess tournaments. By participating in tournaments, you agree to:

• The specific rules of each tournament as published on the Service
• Decisions of tournament directors and arbiters as final and binding
• Anti-cheating measures, including post-match analysis of your gameplay
• Forfeiture of tournament entry, results, and any prizes for verified rule violations

Tournament prizes, where offered, are non-monetary digital game items. Tournaments are competitive events, not gambling activities.

10Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHESSVS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11Indemnification

You agree to indemnify and hold harmless ChessVS, Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your violation of these Terms or your misuse of the Service.

12Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email or in-Service notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law.

You waive any right to participate in class action proceedings against ChessVS, Inc. to the fullest extent permitted by law.

14Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account for violation of these Terms, suspected fraudulent activity, or as required by law. Upon termination:

• Your access to the Service ends
• Subscription billing stops at the end of the current billing period
• In-game items associated with your account may become inaccessible
• Sections of these Terms that by their nature survive termination remain in effect
